Terms of Service

These Terms of Service govern access to and use of ScriptorAI, including the website, paid application features, subscriptions, AI-assisted writing tools, and related services.

Welcome to ScriptorAI. These Terms of Service ("Terms") govern your access to and use of the ScriptorAI website, web application, software, content, features, tools, and related services (collectively, the "Service") operated by [Legal Business Name] ("ScriptorAI," "we," "us," or "our").

These Terms constitute a legally binding agreement between you and ScriptorAI.

1. Eligibility and Authority to Agree

You may use the Service only if:

  1. You are at least 18 years old, or the age of majority in your jurisdiction, whichever is higher;
  2. You have the legal capacity to enter into a binding contract; and
  3. You are not prohibited from using the Service under applicable law.

If you use the Service on behalf of a company, organization, educational institution, or other entity, you represent and warrant that you have full legal authority to bind that entity to these Terms. In that case, “you” and “your” refer to both you and that entity.

We may refuse access to the Service to any person or entity at our discretion, to the extent permitted by law.

2. Description of the Service

ScriptorAI is a paid software service designed to assist users with writing-related workflows, including but not limited to manuscript review, textual analysis, punctuation assistance, story-structure support, unresolved-thread identification, editorial-style observations, and other AI-assisted writing features.

The Service may generate automated outputs, suggestions, summaries, classifications, scores, recommendations, highlights, or other machine-generated materials ("Outputs") based on text, files, prompts, and other information you submit to the Service ("Inputs").

You understand and agree that:

  • the Service is a tool for assistance and informational support;
  • Outputs may be incomplete, inaccurate, inconsistent, or unsuitable for your intended purpose;
  • the Service is not a substitute for human judgment, legal review, literary review, editorial review, professional advice, or independent verification;
  • you are solely responsible for evaluating and deciding whether to rely on any Output.

We may add, modify, suspend, or discontinue any feature or functionality at any time, with or without notice, subject to applicable law.

3. Account Registration and Security

To access some or all features of the Service, you may be required to register for an account.

You agree to:

  • provide accurate, current, and complete information during registration and at all other times;
  • maintain and promptly update your information;
  • keep your login credentials confidential;
  • be solely responsible for all activities that occur under your account; and
  • notify us immediately of any unauthorized access, suspected breach, or misuse of your account.

You may not:

  • share your account with anyone else except as expressly permitted by us in writing;
  • impersonate another person or entity;
  • create an account using false identity information; or
  • sell, lease, sublicense, transfer, or otherwise make your account available to third parties.

We reserve the right to suspend, restrict, or terminate accounts that we believe are insecure, fraudulent, abusive, misleading, or in violation of these Terms.

4. Subscription, Paid Access, Billing, and Payment Terms

4.1 Paid Access

Some or all portions of the Service require payment of subscription fees, one-time purchase fees, usage-based fees, or other charges, as described on the Service at the time of purchase (collectively, "Fees"). Access to premium or paid features may require an active paid plan.

4.2 Pricing

All prices are displayed in the currency specified at checkout. Prices, packages, credit allotments, feature sets, and subscription terms may change at any time. Unless otherwise stated, changes to pricing for recurring subscriptions will apply beginning with your next billing cycle, subject to applicable law and any notice requirements.

4.3 Billing Authorization

By purchasing a paid plan, you authorize us and/or our third-party payment processor to charge your selected payment method for all applicable Fees, taxes, and any other charges you incur in connection with your account.

You represent and warrant that:

  • you are authorized to use the payment method you provide;
  • all billing information you provide is true, accurate, and complete; and
  • you will promptly update billing information if it changes.

4.4 Recurring Subscriptions and Auto-Renewal

If you purchase a recurring subscription, your subscription will automatically renew at the end of each billing period unless you cancel before renewal. You authorize us to automatically charge the applicable recurring Fees and taxes to your payment method on each renewal date without further notice, except where notice is required by law.

4.5 Failed Payments

If any charge is declined, reversed, disputed, or otherwise fails, we may:

  • retry the charge;
  • suspend or limit access to paid features;
  • downgrade your account;
  • terminate your subscription; and/or
  • use lawful means to collect amounts due.

You remain responsible for all unpaid amounts.

4.6 Taxes

Fees do not include sales, use, value-added, goods and services, withholding, or similar taxes unless expressly stated otherwise. You are responsible for all applicable taxes, duties, levies, and governmental assessments associated with your purchase or use of the Service, except taxes based on our net income.

4.7 No Price Protection

We do not provide retroactive price matching, credits, or refunds for promotional pricing, temporary discounts, or later price changes unless we expressly state otherwise.

4.8 Payment Processor

Payments may be processed by third-party providers such as Stripe or other payment processors. Your use of such payment functionality may also be subject to the terms and privacy policies of those third parties. We are not responsible for errors caused by third-party payment processors, banking systems, card networks, or your financial institution.

5. Refund Policy

5.1 Fourteen-Day Refund Window

Subject to these Terms, ScriptorAI offers a fourteen (14) calendar day refund period for initial purchases of the application or an eligible paid subscription plan. To be eligible, your refund request must be submitted within 14 days of the original purchase timestamp.

5.2 Scope of Refund Eligibility

Unless required otherwise by applicable law, the 14-day refund applies only to the following:

  • the initial purchase of a new paid subscription or paid application access;
  • the first charge of a new subscription term where expressly stated by us; and
  • purchases made directly through ScriptorAI or our authorized payment processor.

The refund policy does not apply, except where required by law, to:

  • subscription renewals after the initial purchase;
  • partial billing periods;
  • unused time;
  • promotional, discounted, or bundled purchases marked non-refundable;
  • enterprise, team, custom, or negotiated contracts unless their separate agreement states otherwise;
  • purchases made through third-party app stores, marketplaces, resellers, or platforms, which may be governed by those third parties’ refund rules;
  • accounts that violated these Terms;
  • abuse of the refund policy; and
  • chargebacks initiated without first contacting us for support.

5.3 Use During Refund Period

You may use the Service during the refund period. However, we reserve the right to deny a refund, to the extent permitted by law, where we reasonably determine that a user has materially abused the Service, exploited the refund policy in bad faith, created multiple accounts to repeatedly obtain refunds, or engaged in fraudulent or prohibited conduct.

5.4 How to Request a Refund

To request a refund, you must contact us at contact@scriptorai.co within 14 days of purchase and provide sufficient information for us to identify the transaction, such as the email address associated with the account, purchase date, transaction ID, and reason for the request.

5.5 Refund Method and Timing

If approved, refunds will generally be issued to the original payment method used for the purchase. Processing times may vary based on your payment provider or financial institution. We do not control how long your bank or card issuer takes to post the refund.

5.6 Chargebacks

Before initiating a chargeback, you agree to contact us to attempt to resolve the issue. If you initiate a chargeback, we may suspend or terminate your account during the investigation. Fraudulent or abusive chargebacks may result in permanent account restriction and additional recovery actions where permitted by law.

5.7 Consumer Rights

Nothing in this section limits any non-waivable statutory rights you may have under applicable consumer protection laws.

6. Cancellation and Plan Changes

You may cancel your subscription at any time through your account settings or by contacting support, unless otherwise stated for a specific plan.

Unless required by law or expressly stated otherwise:

  • cancellation prevents future renewal charges only;
  • cancellation does not entitle you to a refund for amounts already paid outside the refund policy described above;
  • your access to paid features may continue until the end of the current billing period; and
  • downgrades, upgrades, and plan switches may take effect immediately or at the next billing cycle, as described at checkout or in your account interface.

We may offer prorated billing, credits, or adjusted billing in certain upgrade or downgrade scenarios, but we are not obligated to do so unless required by law or expressly stated at the time of purchase.

7. User Content, Inputs, and Responsibility for Materials

7.1 Your Content

You retain ownership of the text, files, prompts, manuscripts, notes, images, and other content you upload, submit, transmit, or otherwise make available to the Service (collectively, "User Content"), subject to the rights you grant us in these Terms.

7.2 License to Us

To operate, improve, secure, and provide the Service, you grant ScriptorAI a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, process, transmit, display, modify, adapt, and create derivative technical transformations of your User Content solely as necessary to:

  • provide and maintain the Service;
  • generate Outputs;
  • troubleshoot, debug, prevent abuse, and enforce these Terms;
  • comply with legal obligations; and
  • improve safety, quality, and performance, subject to our Privacy Policy and any product-specific settings we may offer.

7.3 Your Responsibility

You are solely responsible for your User Content and for the consequences of submitting it. You represent and warrant that:

  • you own or control all necessary rights in and to your User Content;
  • your User Content and our permitted use of it will not violate any law, regulation, contract, confidentiality obligation, or third-party right; and
  • your User Content does not infringe, misappropriate, or otherwise violate any intellectual property, privacy, publicity, or other rights of any third party.

7.4 Sensitive or Confidential Information

You acknowledge that AI-powered services may not be suitable for all categories of highly sensitive, confidential, privileged, export-controlled, regulated, or legally restricted information. Unless we expressly state in writing that such use is permitted, you agree not to upload or submit:

  • attorney-client privileged materials;
  • medical records subject to specialized regulatory requirements;
  • payment card data beyond ordinary billing details collected by authorized processors;
  • highly sensitive government information;
  • regulated export-controlled data; or
  • any content for which you lack lawful authority to process or disclose.

8. Acceptable Use Restrictions

You agree not to, and not to permit any third party to:

  1. use the Service in violation of any law, regulation, sanction, or court order;
  2. upload or submit unlawful, defamatory, harassing, threatening, abusive, hateful, discriminatory, fraudulent, infringing, obscene, or otherwise harmful content;
  3. use the Service to develop, transmit, or facilitate malware, spyware, ransomware, or malicious code;
  4. interfere with, disrupt, damage, overburden, or impair the Service or its infrastructure;
  5. gain unauthorized access to accounts, systems, networks, or data;
  6. circumvent usage limits, rate limits, access controls, subscription gates, security protections, or technical restrictions;
  7. copy, scrape, harvest, index, extract, or collect data from the Service by automated means except as expressly authorized by us in writing;
  8. reverse engineer, decompile, disassemble, translate, or attempt to derive source code, models, underlying prompts, trade secrets, or non-public components of the Service, except to the extent such restriction is prohibited by applicable law;
  9. resell, rent, lease, sublicense, distribute, or commercially exploit the Service except as expressly authorized;
  10. use the Service to create competing products or services based on our proprietary features, workflows, or non-public components;
  11. misrepresent AI-generated content as human-reviewed, certified, guaranteed, or professionally endorsed where such representation would be misleading;
  12. use the Service for spam, phishing, impersonation, or deceptive practices;
  13. submit viruses, corrupted files, or harmful code;
  14. attempt to probe, scan, or test the vulnerability of the Service without authorization; or
  15. use the Service in a way that infringes or violates the rights of others.

We may investigate suspected violations and may suspend, limit, or terminate access, remove content, and cooperate with law enforcement or other authorities where appropriate.

9. AI-Specific Disclosures

Because the Service uses automated systems, machine learning models, and similar technologies, you understand and agree that:

  • Outputs may contain errors, omissions, false positives, false negatives, or misleading statements;
  • identical or similar Outputs may be generated for multiple users;
  • Outputs may not be unique and may not qualify for copyright or other intellectual property protection in all jurisdictions;
  • the Service does not guarantee factual accuracy, literary merit, marketability, legal compliance, publication readiness, or commercial success;
  • the Service may misidentify story threads, plot holes, contradictions, grammar issues, editorial concerns, or narrative elements; and
  • you must independently review and verify Outputs before relying on them.

The Service is provided for informational and assistive purposes only and does not constitute legal, accounting, tax, therapeutic, publishing, literary-agent, editorial certification, or other professional advice.

10. Intellectual Property Rights

10.1 Our Property

The Service, including its software, interface design, workflows, structure, visual elements, branding, trademarks, logos, text, graphics, compilations, model orchestration, and all related intellectual property rights, are and remain the exclusive property of ScriptorAI and its licensors.

Except for the limited rights expressly granted in these Terms, no right, title, or interest in or to the Service is transferred to you.

10.2 Limited License to You

Subject to your compliance with these Terms and payment of all applicable Fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business use, solely as permitted by these Terms.

10.3 Feedback

If you submit suggestions, ideas, enhancement requests, comments, bug reports, or other feedback about the Service ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free, fully paid-up right to use, copy, modify, distribute, commercialize, and otherwise exploit that Feedback for any lawful purpose without compensation, attribution, or restriction.

10.4 Outputs

As between you and ScriptorAI, and subject to your compliance with these Terms and applicable law, we do not claim ownership of Outputs generated specifically for you based on your Inputs, except to the extent any portion of an Output contains our preexisting intellectual property, third-party materials, or content that is not legally ownable or exclusive. You are solely responsible for determining the legal status, protectability, and suitability of any Output.

11. Privacy and Data Practices

Your use of the Service is also governed by our Privacy Policy, available at scriptorai.co/privacy/, which explains how we collect, use, store, and disclose personal information and other data.

By using the Service, you acknowledge that:

  • internet transmissions are never completely private or secure;
  • we may process data in the United States and other countries where we or our service providers operate;
  • we may use service providers, subprocessors, hosting vendors, analytics providers, payment processors, and security tools to support the Service; and
  • we may retain and disclose information where reasonably necessary to comply with law, enforce these Terms, prevent fraud or abuse, or protect rights, property, safety, users, and the Service.

If you are subject to data protection laws that require a separate data processing agreement or special contractual terms, you may need a separate written agreement with us before using the Service for regulated or sensitive data.

12. Beta Features, Experimental Tools, and Early Access

From time to time, we may offer beta, preview, experimental, limited-release, or early-access features (collectively, "Beta Features"). Beta Features may be incomplete, unstable, contain bugs, change materially, or be discontinued at any time.

Beta Features are provided "AS IS" and "AS AVAILABLE" without any warranty of any kind and may be subject to additional terms. We are not liable for any harm, loss, data issues, or feature changes arising from Beta Features.

13. Availability, Maintenance, and Service Changes

We do not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times or on all devices. The Service may be unavailable due to maintenance, upgrades, outages, security events, internet failures, force majeure events, or other causes.

We may modify, update, suspend, or discontinue all or any part of the Service at any time, temporarily or permanently, with or without notice, subject to applicable law.

We are not liable for downtime, data loss, delays, performance issues, interruptions, or changes to functionality.

14. Third-Party Services and Links

The Service may integrate with or contain links to third-party services, products, websites, APIs, payment processors, plugins, or content. We do not control and are not responsible for any third-party services.

Your use of third-party services is governed by the terms and privacy policies of those third parties. We make no representations or warranties regarding third-party offerings and disclaim all liability arising from your use of them.

16. Suspension and Termination

We may, at any time and without liability, suspend, restrict, disable, or terminate your access to all or part of the Service if:

  • you violate these Terms;
  • you fail to pay Fees when due;
  • we suspect fraud, abuse, unauthorized activity, or security risks;
  • we are required to do so by law, court order, or regulatory request; or
  • your use of the Service may create legal exposure, operational risk, or harm to us, users, or third parties.

You may stop using the Service at any time. Termination does not relieve you of any obligation to pay accrued Fees or other amounts owed.

Upon termination, we may delete or deactivate your account and access to associated data, subject to applicable law, our retention policies, and any legal obligations.

17. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE, OUTPUTS, BETA FEATURES, CONTENT, AND ALL RELATED MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

SCRIPTORAI EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, RELIABILITY, SECURITY, PERFORMANCE, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  • THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • OUTPUTS WILL BE ACCURATE, COMPLETE, USEFUL, ORIGINAL, OR FIT FOR ANY PARTICULAR PURPOSE;
  • DEFECTS WILL BE CORRECTED;
  • FILES OR DATA WILL NOT BE LOST OR CORRUPTED; OR
  • THE SERVICE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SCRIPTORAI, ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, OR REPRESENTATIVES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, USE, SAVINGS, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:

  • YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE;
  • OUTPUTS OR RELIANCE ON OUTPUTS;
  • ERRORS, INACCURACIES, OR OMISSIONS;
  • DATA LOSS, FILE CORRUPTION, OR SECURITY INCIDENTS;
  • THIRD-PARTY SERVICES OR CONTENT;
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;
  • SUSPENSION, MODIFICATION, OR TERMINATION OF THE SERVICE; OR
  • ANY OTHER MATTER RELATING TO THE SERVICE OR THESE TERMS,

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF:

  1. THE AMOUNT YOU PAID TO SCRIPTORAI FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  2. FIFTY U.S. DOLLARS (US $50).

THE FOREGOING LIMITATIONS APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR OTHERWISE, AND EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

19. Indemnification

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless ScriptorAI and its affiliates, licensors, service providers, officers, directors, employees, contractors, agents, and representatives from and against any and all claims, demands, actions, proceedings, investigations, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

  • your use or misuse of the Service;
  • your User Content;
  • your violation of these Terms;
  • your violation of any law or regulation; or
  • your infringement or violation of any third-party rights.

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense.

20. Governing Law

These Terms and any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles, except to the extent superseded by applicable federal law or non-waivable consumer protections.

21. Dispute Resolution and Venue

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding individual arbitration, and not in court, except that either party may bring an individual claim in small claims court if it qualifies. You and ScriptorAI waive any right to a jury trial and any right to participate in a class action, class arbitration, or representative proceeding.

22. Class Action Waiver

To the maximum extent permitted by law, you and ScriptorAI agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, mass, or representative proceeding.

If a court or arbitrator determines this waiver is unenforceable as to a particular claim, then that claim shall proceed only to the extent permitted by law and the remainder of these Terms shall remain in effect to the fullest extent possible.

23. Injunctive Relief

You acknowledge that a breach of these Terms, particularly with respect to intellectual property rights, confidentiality, platform abuse, or unauthorized access, may cause irreparable harm for which monetary damages may be inadequate. Accordingly, we may seek injunctive or equitable relief, in addition to any other rights or remedies available at law or in equity, without the requirement to post bond where permitted by law.

24. Export Control and Sanctions Compliance

You may not use, export, re-export, or transfer the Service except as authorized by United States law and the laws of the jurisdiction in which the Service was obtained. You represent and warrant that you are not:

  • located in, organized in, or ordinarily resident in a country or region subject to comprehensive sanctions;
  • listed on any U.S. government list of prohibited or restricted parties; or
  • using the Service in violation of export control or sanctions laws.

You agree not to use the Service for any prohibited end use, including where barred by applicable export control laws.

25. Electronic Communications and Notices

By using the Service, you consent to receive communications from us electronically, including by email, in-app notices, dashboard notices, or postings on the Service. You agree that such communications satisfy any legal requirement that communications be in writing.

You are responsible for keeping your email address current. We are not responsible for notices not received because your contact information is outdated or inaccurate.

26. Changes to These Terms

We may revise these Terms from time to time. When we do, we may update the “Last Updated” date above and may provide additional notice where required by law or where, in our judgment, changes are material.

Unless otherwise required by law, revised Terms become effective when posted. By continuing to use the Service after the updated Terms become effective, you agree to the revised Terms. If you do not agree, you must stop using the Service.

27. Entire Agreement

These Terms, together with our Privacy Policy and any other policies, guidelines, or supplemental terms expressly incorporated by reference, constitute the entire agreement between you and ScriptorAI regarding the Service and supersede all prior or contemporaneous understandings, agreements, communications, and proposals relating to the Service.

28. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

29. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision. Any waiver must be in writing and signed by an authorized representative of ScriptorAI.

30. Assignment

You may not assign, delegate, or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, asset sale, or by operation of law.

31. Force Majeure
